Terms and Conditions of Use

These Terms and Conditions of Use (the “Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “User”), and SportsHL LLC, a Wyoming limited liability company with its registered office at 30 N. Gould St., Ste N, Sheridan, WY 82801, USA (“SportsHL,” “Company,” “we,” “us,” or “our”).

These Terms govern your access to and use of the sportshl.com website, together with any related media form, media channel, mobile website, or native mobile application (including our iOS and Android builds) that links to or references these Terms (collectively, the “Platform”).

By downloading our application, creating an account, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms, together with our Privacy Policy, Cookie Policy, Media Disclosures and Disclaimers, and Accessibility Policy, each of which is incorporated by reference.

If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use and delete the application immediately.

CRITICAL AGE AND GEOGRAPHIC ELIGIBILITY MANDATE.

The Platform is intended strictly and exclusively for adult audiences who are at least eighteen (18) years of age and who are residents of, and physically located within, the United States. By accessing or using the Platform, you expressly represent, warrant, and covenant that you meet these age and geographic criteria.

If you are under the age of eighteen (18), or accessing the Platform from outside the territorial borders of the United States, you are completely prohibited from accessing, registering for, viewing, or using any services or media elements hosted on the Platform. You must terminate use immediately. We make no representation that the Platform is appropriate or available for use outside the United States.

Subject to your continuous compliance with these Terms, SportsHL grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform strictly for your personal, non-commercial entertainment and informational purposes. This license does not include any right to:

(a) Resell or make commercial use of the Platform or its Content;

(b) Collect or use any listings, descriptions, ratings, or data for the benefit of a competitor; or

(c) Use any data-mining, robots, or similar data-gathering and extraction tools. All rights not expressly granted to you are reserved by SportsHL and its licensors.

As a condition of your use, you agree to use the Platform lawfully and to protect the structural integrity of the user experience. You are expressly prohibited from:

(a) using automated scripts, deep-links, scrapers, data-mining tools, bots, spiders, or similar utilities to extract statistics, scores, proprietary Match Ratings, or video metadata from the Platform;

(b) attempting to bypass, defeat, reverse-engineer, exploit, or disable the score-hidden or click-to-reveal interface mechanisms, or injecting code or data payloads designed to disrupt the curation or state-tracking systems;

(c) scraping, harvesting, indexing, or commercializing the proprietary Match Rating scores for use in external applications, competitor websites, private databases, or predictive-modeling software;

(d) reproducing, re-streaming, caching, downloading, or commercially redistributing Embedded Media beyond the sharing parameters natively permitted by the applicable provider’s embed player;

(e) modifying, framing, overlaying, or altering the display boundary or interactive playback canvas of any Embedded Media element, or obscuring any native controls, links, branding, or attribution required by a provider;

(f) bypassing, disabling, or interfering with any security feature, digital rights management (DRM), or access restriction, or using the Platform to transmit malware or conduct denial-of-service activity; or

(g) using the Platform in violation of any applicable local, state, or federal law, or of any third-party provider’s terms.

Intentional disruption of the Platform’s integrity may result in immediate suspension or permanent termination of your access.

We welcome feedback, comments, feature requests, and suggestions. If you submit any idea, suggestion, recommendation, interface improvement, or other material to SportsHL through any channel (a “Submission”), you agree that the Submission is non-confidential and non-proprietary, and you hereby assign to SportsHL LLC all right, title, and interest in and to the Submission, including all intellectual-property rights, without any obligation of notice, compensation, or attribution.

SportsHL may use, modify, reproduce, publish, license, and commercially exploit any Submission for any purpose. To the extent any rights are not assignable, you grant SportsHL a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use them, and you waive any moral rights in the Submission. We use account and configuration data to operate, secure, and improve the Platform as described in our Privacy Policy.

The Platform publishes original sports journalism, editorial analysis, commentary, Match Ratings, and data visualizations. All Content is provided for general informational and entertainment purposes only and does not constitute professional, financial, or legal advice. Match Ratings are a subjective entertainment-curation index and carry no predictive value. You should not rely on any Content as the basis for any financial or other decision, and SportsHL accepts no liability for decisions made in reliance on the Content.

While the Platform is designed to protect users from unwanted disclosure of results, SportsHL does not warrant that the Spoiler-Free Mechanics will prevent every disclosure, and you waive any claim arising from the inadvertent display of a score, result, or outcome.

The Platform may contain links to third-party websites, applications, and services that are not owned or controlled by SportsHL. We are not responsible for the content, privacy practices, or conduct of any third party. Your use of any third-party site or service is at your own risk and is governed solely by that third party’s terms and policies.

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPORTSHL LLC AND ITS MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, SPORTSHL MAKES NO WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT, MATCH RATING, STATISTIC, SCORE, OR EMBEDDED MEDIA WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR AVAILABLE. NO ADVICE OR INFORMATION OBTAINED FROM SPORTSHL OR THROUGH THE PLATFORM CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPORTSHL LLC AND ITS MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, DEVICE FAILURE, SERVICE INTERRUPTION, OR THIRD-PARTY TRANSACTION LOSSES, ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE PLATFORM, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT SPORTSHL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, THE TOTAL AGGREGATE AND CUMULATIVE LIABILITY OF SPORTSHL FOR ALL CLAIMS, LOSSES, OR CAUSES OF ACTION — WHETHER IN CONTRACT, TORT, STRICT LIABILITY, BREACH OF WARRANTY, OR OTHERWISE — SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00 USD) IN THE AGGREGATE. THE EXISTENCE OF MULTIPLE CLAIMS WILL NOT ENLARGE OR EXTEND THIS FIXED CEILING. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE PLATFORM IS ACCESSED FREE OF CHARGE OR VIA ANY OPTIONAL FIRST-PARTY FEATURE TIER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless SportsHL LLC and its managers, members, officers, agents, employees, and suppliers from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of:

(a) your breach of Section 6 (Prohibited Conduct) or any other provision of these Terms;

(b) your use of the Platform in violation of any local, state, or federal law or any third-party provider’s terms;

(c) your violation of any third-party intellectual-property or privacy rights; or

(d) any malicious payload, security breach, or disruption traced to your account credentials or device.

SportsHL reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO SUE IN COURT AND TO A JURY TRIAL.

CLASS ACTION WAIVER:

CLAIMS MAY BE BROUGHT ONLY INDIVIDUALLY, AND NOT AS A PLAINTIFF OR MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, JOINT, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER A CLASS PROCEEDING.

Exceptions. Either party may still bring an individual claim in small-claims court, or seek injunctive or equitable relief in court to protect its intellectual property or confidential information. If the Class Action Waiver is held unenforceable as to a claim, that claim alone proceeds in the state or federal courts in Wyoming while all other claims remain in arbitration.

These Terms and your use of the Platform are governed by and construed in accordance with the laws of the State of Wyoming, USA, and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-law principles. For any claim not subject to arbitration, or if the arbitration agreement in Section 14 is found unenforceable, you and SportsHL submit to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan County, Wyoming, and consent to personal jurisdiction there.

SportsHL respects the intellectual property rights of others and, consistent with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, maintains a policy to acknowledge and act upon valid copyright concerns within forty-eight (48) hours or two (2) business days of administrative receipt. Because the Platform displays third-party media solely through authorized API embeds and does not host that media, many concerns are most efficiently resolved directly with the originating channel or provider.

If you believe material on or through the Platform infringes a copyright you own or control, send a written notice to our Designated Agent that includes:

(a) your physical or electronic signature;

(b) identification of the copyrighted work claimed to be infringed;

(c) identification of the allegedly infringing material and its exact URL or in-app location;

(d) your contact information (address, telephone, email);

(e) a statement of good-faith belief that the use is not authorized; and

(f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the owner’s behalf.

We will respond to valid counter-notices in accordance with the DMCA and may, in appropriate circumstances, terminate the access of repeat infringers.

SportsHL may modify, suspend, or discontinue all or any part of the Platform at any time, with or without notice. We may also revise these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and, where appropriate, provide additional notice. Your continued use of the Platform after revised Terms take effect constitutes acceptance of those changes. If you do not agree, you must stop using the Platform.

These Terms remain in effect while you use the Platform. SportsHL may, in its sole discretion and without liability, suspend or terminate your access at any time, including for any violation of these Terms. Upon termination, the licenses granted to you cease immediately. Sections relating to intellectual property, Submissions, disclaimers, limitation of liability, indemnification, arbitration, governing law, and miscellaneous provisions survive termination.

By using the Platform or contacting us electronically, you consent to receive communications from us in electronic form, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

Your use of the Platform is also governed by our Privacy Policy and Cookie Policy, which describe how we collect, use, and share information. You must agree to our Privacy Policy before using features that rely on third-party API services. Because the Platform displays YouTube content, your interactions with that content are also subject to the Google Privacy Policy.
