End User License Agreement

This End User License Agreement (“EULA” or “Agreement”) is a legally binding agreement between you (“User” or “you”) and SportsHL LLC, a Wyoming limited liability company with its registered office at 30 N. Gould St., Ste N, Sheridan, WY 82801, USA (“SportsHL,” “we,” “us,” or “our”), governing your download, installation, and use of the SportsHL iOS mobile application (the “App”).

This Agreement is concluded solely between you and SportsHL. Apple Inc. (“Apple”) is not a party to this Agreement and is not responsible for the App or its content. By downloading, installing, or using the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

This Agreement should be read together with our Terms and Conditions, Privacy Policy, Cookie Policy, Media Disclosures & Disclaimers, and Accessibility Statement, each of which is incorporated herein by reference.

Subject to your acceptance of and ongoing compliance with this Agreement, SportsHL grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device that you own or control, strictly in accordance with the Usage Rules set forth in Apple’s Media Services Terms and Conditions.

This license does not include the right to:

(a) resell, redistribute, sublicense, or make the App available over a network where it could be used by multiple devices simultaneously;

(b) copy, reproduce, or duplicate the App except as permitted by this license and Apple’s Usage Rules;

(c) reverse-engineer, disassemble, decompile, attempt to derive source code from, modify, or create derivative works of the App or any part thereof, except to the extent permitted by applicable law; or

(d) transfer the App to a third party. If you sell your Apple device, you must remove the App before doing so.

All rights in and to the App not expressly granted to you under this Agreement are reserved by SportsHL and its licensors.

The App is licensed for use on Apple-branded devices associated with your Apple ID. You may use the App on devices that you own or control in accordance with Apple’s Usage Rules. You are responsible for all activity that occurs under your SportsHL account and for maintaining the confidentiality of your login credentials. You must notify SportsHL immediately of any unauthorized use of your account at legal@sportshl.com.

CRITICAL AGE AND GEOGRAPHIC ELIGIBILITY MANDATE: The App is intended strictly and exclusively for adult audiences who are at least eighteen (18) years of age and who are residents of, and physically located within, the United States of America.

By downloading, installing, or using the App, you expressly represent, warrant, and covenant that: (a) you are at least 18 years of age; (b) you are a resident of the United States; and (c) you are physically located within the territorial borders of the United States at the time of use.

If you are under the age of 18, or if you are accessing the App from outside the United States, you are prohibited from using the App and must delete it immediately. SportsHL makes no representation that the App is appropriate or lawful for use outside the United States.

You agree that SportsHL may collect and use technical data and related information — including but not limited to technical information about your device, operating system, application software, and peripherals — that is gathered periodically to facilitate the provision of software updates, product support, and other services to you related to the App.

All collection and use of personal information is governed by our Privacy Policy and Cookie Policy.

The App may enable access to SportsHL’s and/or third-party services and websites (collectively, “External Services”). You agree to use External Services at your sole risk. SportsHL is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for any such External Services.

Data displayed by the App or any External Service — including but not limited to sports statistics, scores, and schedule information — is for general informational and entertainment purposes only and is not guaranteed by SportsHL or its agents.

You agree not to use External Services in any manner inconsistent with this Agreement or that infringes the intellectual property rights of SportsHL or any third party. External Services may not be available in all languages or locations. SportsHL reserves the right to change, suspend, remove, disable, or impose access restrictions on any External Service at any time without notice or liability.

The App displays content sourced via authorized third-party APIs and embed tools. All such content remains the exclusive property of the respective content owners, rights holders, and originating platforms. By using the App, you acknowledge and agree to the following:

• YouTube API Services: The App utilizes the YouTube API Services to display authorized video highlights. SportsHL does not host, upload, or permanently store raw video files. All media playback is routed through Google’s streaming servers via native, unaltered, authorized embeds. By interacting with YouTube content in the App, you agree to be bound by the YouTube Terms of Service and acknowledge that your interactions are subject to the Google Privacy Policy.
• X (Twitter) Embedded Posts: The App may display embedded posts from X (formerly Twitter) using X’s official embed tools. All X content remains the property of X Corp. and the respective content creators. By interacting with embedded X content, you agree to be bound by the X Terms of Service.
• Instagram Embeds: The App may display embedded Instagram content using Meta’s official embed tools. All Instagram content remains the property of Meta Platforms, Inc. and the respective content creators. By interacting with embedded Instagram content, you agree to be bound by the Instagram Terms of Use.
• Third-Party Statistical Feeds: Sports statistics, scores, schedules, and roster data are sourced from third-party data vendors. SportsHL makes no warranty regarding the real-time accuracy, completeness, or uninterrupted availability of third-party data.

The App features a proprietary spoiler-free experience, including score-hidden display arrays and click-to-reveal toggle mechanics, designed to allow users to control the disclosure of sports results at their own pace. These features are engineered and maintained by SportsHL LLC.

SportsHL does not warrant that these features will prevent every inadvertent disclosure of a score or result. You expressly waive any claim arising from the accidental or inadvertent display of a score, result, or other spoiler content while using the App.

You are strictly prohibited from attempting to bypass, defeat, reverse-engineer, exploit, or disable the score-hidden or click-to-reveal interface mechanisms, or from injecting code or data payloads designed to disrupt the curation or state-tracking systems.

The App features a proprietary Match Rating index dynamically assigned to sports events via custom mathematical weighting formulas, historical-interest data models, and automated analytical systems. Match Ratings are a subjective data-synthesis index provided solely for entertainment and curation purposes.

Match Ratings do not constitute financial guidance, professional sports analytics, predictive modeling, or advice of any kind. SportsHL LLC assumes no liability for any decision made in reliance on Match Ratings. Match Rating scores are subject to change, correction, or removal at any time without notice.

In compliance with Federal Trade Commission (FTC) guidelines (16 C.F.R. Part 255), SportsHL discloses that the App is monetized through affiliate marketing, programmatic advertising, and commercial referral networks. SportsHL LLC may receive financial compensation — including referral commissions, lead-generation fees, or revenue-share payments — when users interact with, click on, sign up for, or complete a transaction through affiliate links or advertisements displayed on or through the App.

All affiliate links trigger an external browser hand-off consistent with Apple’s App Store Review Guidelines. No purchase or subscription transaction is completed within the App itself. Affiliate commissions are paid by third-party merchants and do not increase the price you pay for any product or service.

No advertisement, affiliate promotion, or sponsored element is overlaid, injected, or rendered within the visual boundary or playback canvas of any embedded media player.

The App, its source code, object code, architecture, proprietary user interface, spoiler-free mechanics, Match Rating engine, graphics, audio, text, and all original content are the exclusive intellectual property of SportsHL LLC, protected under United States and international copyright, trademark, patent, trade secret, and unfair-competition laws.

Any third-party league names, team names, logos, marks, and related intellectual property referenced in the App are used solely for editorial identification and informational purposes under the nominative fair use doctrine and do not imply sponsorship, affiliation, or endorsement by the respective mark owners. All such marks remain the property of their respective owners. SportsHL claims no ownership of, and asserts no affiliation with or endorsement by, any professional sports league, team, broadcaster, or governing body.

You may not copy, clone, scrape, reproduce, reverse-engineer, decompile, or create derivative works of any SportsHL-proprietary content, interface element, or system without express written consent from SportsHL LLC.

As a condition of your use, you are expressly prohibited from:

(a) using automated scripts, bots, scrapers, deep-links, data-mining tools, or similar utilities to extract statistics, scores, Match Ratings, or video metadata from the App;

(b) scraping, harvesting, indexing, or commercializing proprietary Match Rating scores or any other SportsHL-proprietary content;

(c) reproducing, re-streaming, caching, downloading, or commercially redistributing embedded media beyond the sharing parameters natively permitted by the applicable provider;

(d) modifying, framing, overlaying, or altering any embedded media player, or obscuring any native controls, links, branding, or attribution required by a provider;

(e) bypassing, disabling, or interfering with any security feature, DRM, or access restriction, or transmitting malware or conducting denial-of-service activity;

(f) using the App from outside the United States or by any person under 18 years of age; or

(g) using the App in violation of any applicable local, state, or federal law or of any third-party provider’s terms of service.

SportsHL respects the intellectual property rights of others and, consistent with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, maintains a policy to acknowledge and act upon valid copyright concerns within forty-eight (48) hours or two (2) business days of administrative receipt.

Because the App displays third-party media solely through authorized API embeds and does not host that media, many concerns are most efficiently resolved directly with the originating channel or provider.

If you believe material displayed in the App infringes a copyright you own or control, send a written notice to our Designated Agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and its exact in-app location; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the owner’s behalf.

SportsHL will respond to valid counter-notices in accordance with the DMCA and may, in appropriate circumstances, terminate the access of repeat infringers.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE APP IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ANY SERVICES PERFORMED OR PROVIDED BY THE APP ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. SPORTSHL LLC AND ITS MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE APP AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SPORTSHL OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE APP OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

SPORTSHL MAKES NO WARRANTY THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT, MATCH RATING, STATISTIC, SCORE, OR EMBEDDED MEDIA WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR AVAILABLE AT ANY TIME. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL SPORTSHL LLC, ITS MANAGERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF SPORTSHL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SPORTSHL LLC’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES (OTHER THAN AS MAY BE REQUIRED BY APPLICABLE LAW IN CASES INVOLVING PERSONAL INJURY) EXCEED ONE-HUNDRED DOLLARS ($100.00). THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

SportsHL LLC is solely responsible for providing any maintenance and support services for the App, as required under applicable law or as described in this Agreement. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App.

SportsHL LLC, not Apple, is solely responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including without limitation: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.

SportsHL LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim relating to the App or your possession and use of the App. In the event of any such claim, SportsHL will use commercially reasonable efforts to address the matter in accordance with applicable law and the DMCA procedures described in §13 of this Agreement.

You may not use or otherwise export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. In particular, but without limitation, the App may not be exported or re-exported: (a) into any country subject to a U.S. Government embargo; or (b) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List.

By using the App, you represent and warrant that: (i) you are not located in any such country; (ii) you are not listed on any such U.S. Government prohibited-party list; and (iii) you will not use the App for any purpose prohibited by United States law, including the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.

The App and related documentation are “Commercial Items” as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation” as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §§227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users: (a) only as Commercial Items; and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions of this Agreement. Unpublished rights are reserved under the copyright laws of the United States.

This Agreement is effective until terminated by you or SportsHL. Your rights under this Agreement will terminate automatically, without notice from SportsHL, if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the App and delete all copies from your devices.

SportsHL may also suspend or terminate your access to the App or your account at any time, in its sole discretion, with or without cause, and with or without notice. Termination will not limit any of SportsHL’s rights or remedies at law or in equity.

Sections 11, 14, 15, 18, 22, 23, and 24 of this Agreement shall survive termination.

SportsHL may update this Agreement from time to time. When material changes are made, we will revise the Last Updated date at the top of this Agreement and provide notice where appropriate. Your continued use of the App after changes take effect constitutes acceptance of the updated Agreement. If you do not agree to the updated terms, you must stop using the App and delete it.

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, and applicable U.S. federal law (including the Federal Arbitration Act), without regard to conflict-of-law principles.

Any dispute arising out of or related to this Agreement or the App that is not subject to arbitration, or if the arbitration agreement in our Terms and Conditions is found unenforceable, shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to personal jurisdiction there.

THE UNITED NATIONS CONVENTION ON THE INTERNATIONAL SALE OF GOODS IS EXPRESSLY EXCLUDED FROM APPLICATION TO THIS AGREEMENT.

You and SportsHL LLC acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

Additionally, you and SportsHL acknowledge that: (a) this Agreement is concluded between you and SportsHL only, and not with Apple; (b) SportsHL, not Apple, is solely responsible for the App and its content; (c) Apple has no obligation to furnish maintenance or support services for the App; (d) Apple has no warranty obligation with respect to the App beyond any refund of the purchase price; (e) Apple is not responsible for product liability, legal, regulatory, or consumer-protection claims relating to the App; and (f) Apple is not responsible for the investigation or discharge of any intellectual property infringement claim relating to the App.

• Entire Agreement: This Agreement, together with our Terms and Conditions, Privacy Policy, Cookie Policy, Media Disclosures & Disclaimers, and Accessibility Statement, constitutes the entire agreement between you and SportsHL with respect to the App and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties.
• Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: SportsHL’s failure to enforce any right or provision of this Agreement will not constitute a waiver of that right or provision.
• No Assignment: You may not assign this Agreement or any rights hereunder without SportsHL’s prior written consent. SportsHL may assign this Agreement freely.
• Compliance with Third-Party Terms: When using the App, you must comply with all applicable third-party terms of service, including those of Apple’s Media Services, YouTube, X (Twitter), Instagram, and Meta.
